Changes to the Medicalgorithmics S.A. Supervisory Board

The Management Board of Medicalgorithmics S.A. (“Company”) notifies that on 26 June 2019, the Annual General Meeting of the Company (“General Meeting”) made changes to the Company’s Supervisory Board.
The General Meeting appointed the following two new members of the Supervisory Board, current term of office: Mr Mariusz Matuszewski and Mr Marcin Gołębicki. The appointment of the new members of the Supervisory Board was a result of the Supervisory Board’s extension by the General Meeting from five to six members, and the resignation of Mr. Grzegorz Grabowicz from the position of the Supervisory Board’s Member, which was notified by the Company in Current Report No. 16/2019 dated 29 May 2019.
Biographies of new Members of the Supervisory Board – Mr Mariusz Matuszewski and Mr Marcin Gołębicki, containing information about their education, qualifications and positions held previously, along with a description of the course of their professional work, constitute attachments to this report.
Mr Mariusz Matuszewski submitted a declaration stating that:
- there are no obstacles preventing him from performing the function of a Member of the Company’s Supervisory Board referred to in Article 18 of the Code of Commercial Companies;
- he does not conduct any activity competitive to the Company in any form mentioned in Article 380(1) of the Commercial Companies Code;
- he is not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register and the conditions for such entry are not met;
- with regard to the Company he meets the criteria of independence specified in Appendix II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board;
- with regard to the Company he meets the criteria of independence specified in Article 129(3) of the Act of 11 May 2017 on statutory auditors, audit companies and public supervision, as well as he has knowledge and skills in accounting and in the industry in which the Company operates.
Mr Marcin Gołębicki submitted a declaration stating that:
- there are no obstacles preventing him from performing the function of a Member of the Company’s Supervisory Board referred to in Article 18 of the Code of Commercial Companies;
- he does not conduct any activity competitive to the Company in any form mentioned in Article 380(1) of the Commercial Companies Code;
- he is not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register;
- he does not perform any functions and does not occupy any positions specified in Articles 1-2 of the Act of August 21, 1997 on restricting business activity by persons performing public functions;
- with regard to the Company he meets the criteria of independence specified in Article 129(3) of the Act of 11 May 2017 on statutory auditors, audit companies and public supervision;
- with regard to the Company he meets the criteria of independence specified in Appendix II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board;
- with regard to the Company he meets the additional independence criteria defined in principle II.Z.4. sentences 2 and 3 of the Best Practice for WSE Listed Companies 2016.
