The Management Board of Medicalgorithmics S.A. (“Company”) hereby announces that on 12 April 2017 it received information regarding the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, registering on 2 March 2017, pursuant to resolution No 10 of the Annual General Meeting of 26 February 2016, the content of which was published by the Company in current report No 8/2016 of 26 February 2016 (i) a conditional increase of the Company’s share capital by up to PLN 59,800 through the issue of series G ordinary bearer shares with the nominal value of PLN 0.10 each, for the purpose of granting the right to acquire series G shares to the holders of series A subscription warrants issued to be offered to eligible persons as part of the incentive scheme in place at the Company pursuant to resolution No 8 of the Extraordinary General Meeting of the Company of 26 February 2016, the content of which was published by the Company in current report No 8/2016 of 26 February 2016, and (ii) the following amendment to the Company’s Articles of Association:
addition of § 8 which reads as follows:
“The Company’s share capital was conditionally increased by no more than PLN 59,800 (in words: five hundred nine thousand eight hundred zloty),through an issue of up to 598,000 (in words: five hundred ninety eight thousand) ordinary Series G bearer shares with nominal value of PLN 0.10 (10/100) per share, for the purpose of granting the right to acquire Series G shares to the holders of series A subscription warrants issued to be offered to eligible persons as part of the incentive scheme in place at the Company pursuant to resolution No 8 of the Extraordinary General Shareholders’ Meeting of the Company dated 26 February 2016 on adopting the incentive scheme rules.” and change of the current numbering of § 8–§ 33 to § 9–§ 34, respectively.

Due to the registration of the above amendments to the Articles of Association and conditional increase of the Company’s share capital, the Company’s share capital and the total number of votes attached to the Company’s shares issued did not change. The Company’s share capital amounts to PLN 360,652.60, while the total number of votes at the General Meeting, attached to the Company’s shares issued, is 3,606,526.
